payment terms
project payments
for one-time projects, payment is structured as follows:
ongoing services
monthly maintenance packages and ongoing services are billed monthly in advance. services will not commence until payment is received.
late payments
late payments may result in suspension of services and/or late fees. we reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
project timeline
project duration
project timelines typically range from 1-10 weeks, with most projects completed within 1-4 weeks. specific timelines will be established in individual project agreements and may vary based on project complexity and scope.
progress meetings
we schedule mid-progress meetings to review project status, gather feedback, and make any necessary adjustments to ensure the project meets your expectations and requirements.
timeline delays
timelines may be affected by factors including client feedback response time, content delivery, and scope changes. we will communicate any potential delays promptly and work to minimize impact on project completion.
client responsibilities
content & materials
clients are responsible for providing:
system access
when integration with existing systems is required, clients must provide appropriate access permissions and technical specifications. this may include cms platforms, analytics accounts, social media profiles, and third-party software systems.
communication & availability
clients should be available for scheduled meetings, provide timely responses to requests for feedback or clarification, and communicate any changes in requirements or priorities promptly.
intellectual property
ownership of deliverables
upon full payment, clients receive full ownership rights to custom-created deliverables including websites, graphics, content, and other materials specifically created for their project. this transfer of ownership occurs only after all payments have been received.
company methods & processes
ceballos digital solutions retains ownership of our general methodologies, processes, techniques, and know-how used in providing services. this includes our proprietary approaches to strategy, development frameworks, and business processes.
third-party materials
any third-party software, themes, plugins, or materials used in projects are subject to their respective licensing terms. clients are responsible for maintaining appropriate licenses for any third-party materials used in their projects.
portfolio rights
we reserve the right to display completed work in our portfolio and marketing materials unless specifically restricted by written agreement. client confidentiality will be respected when requested.
limitation of liability
liability cap
our total liability for any claims arising from our services will not exceed the total amount paid by the client for the specific project or service giving rise to the claim.
excluded damages
we will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.
service disclaimer
our services are provided "as is" without warranties of any kind. we do not guarantee specific results including search engine rankings, website traffic, lead generation numbers, or business outcomes.
client indemnification
client agrees to indemnify and hold harmless ceballos digital solutions from any claims arising from the client's use of our deliverables, client-provided content, or any modifications made to our work without our involvement.
termination
project cancellation
either party may terminate a project with written notice. the 50% deposit is non-refundable as it covers initial project setup and planning. for work completed beyond the deposit, clients will be invoiced for time and materials at our standard rates.
ongoing services
ongoing service agreements may be terminated by either party with 30 days written notice. all outstanding invoices remain due upon termination.
immediate termination
we reserve the right to immediately terminate services for non-payment, breach of terms, or any conduct that we deem harmful to our business or reputation.
force majeure
neither party will be liable for any delay or failure to perform due to causes beyond their reasonable control, including but not limited to acts of god, natural disasters, war, terrorism, labor disputes, or government actions.
governing law
these terms are governed by the laws of the state of arizona, without regard to conflict of law principles. any disputes will be resolved in the courts of arizona, with preference for mediation before litigation.
modifications
these terms may be updated from time to time. material changes will be communicated to active clients. continued use of our services after changes constitutes acceptance of the updated terms.
severability
if any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
entire agreement
these terms, together with any signed service agreements or proposals, constitute the entire agreement between the parties and supersede all prior communications and agreements.
